Professional Liability Insurance Explained:
Protecting Your Advice, Services, and Reputation
Professional Liability Insurance: Coverage for Errors and Omissions
Professional Liability Insurance (also called Errors & Omissions or E&O) protects businesses that provide advice, design, consulting, or specialized services against claims that their work caused a client financial harm. Unlike General Liability, it focuses on the quality of your professional services.
Core protections typically include:
1. Negligent Acts, Errors, or Omissions
Defense and damages if a client claims your advice, design, or service fell below the professional standard and caused a financial loss.
2. Legal Defense Costs
Attorney fees, expert witnesses, and court costs—even if the claim is without merit. These are often the largest part of a claim.
3. Settlements and Judgments
Payment of covered settlements or court awards up to the policy limit.
4. Vicarious Liability
Coverage for the acts of your employees or subcontractors performed on your behalf (subject to policy terms).
5. Privacy and Network Security (Sometimes Included)
Some professional policies include limited cyber coverage; others require a separate cyber policy.
What’s NOT Covered (And Often Surprises People)
Bodily injury or property damage (General Liability territory)
Intentional wrongful acts, fraud, or criminal conduct
Contractual guarantees of specific results or performance
Employment practices claims (EPLI)
Prior acts that occurred before the retroactive date
Claims arising from work outside your described professional services
The policy is usually claims-made, meaning both the incident and the claim must fall within the policy period (or extended reporting period).
How Much Coverage Should You Have?
Limits commonly start at $1,000,000 per claim / $1,000,000 or $2,000,000 aggregate
Higher limits for consultants, architects, engineers, IT providers, and anyone with large client contracts
Appropriate retroactive date (ideally inception of the firm or prior coverage)
Deductible you can afford (often $5,000–$25,000)
Defense costs inside or outside the limit (outside is preferable)
The Takeaway
Professional Liability Insurance protects the value of your expertise. One disputed recommendation or design error can generate a claim far larger than your annual revenue; the right E&O policy keeps that risk manageable.
-
1. Contract Requirements
Many corporate and government clients in the Kansas City and St. Louis markets require proof of professional liability before awarding work.
2. Claims-Made Nature
Switching carriers or letting coverage lapse can create gaps. Maintain continuous coverage and understand your retroactive date.
3. Subcontractor Exposure
If you hire other professionals, confirm whether their acts are covered under your policy or if you need additional insured status on their policies.
4. Industry-Specific Forms
Architects, engineers, consultants, real estate professionals, and technology firms often need tailored wording. Generic forms can leave gaps.
5. Extended Reporting Period
If you sell the business or retire, an ERP (tail) may be necessary to cover future claims from past work.
